Eligibility and accounts

You are responsible for your account, credentials, and activity. Provide accurate information and keep it up to date.

Uploads and content rights

• You may only upload tracks you fully own or have the rights and permissions to upload and process with CDLC.ai.
• You represent and warrant that your uploads and metadata do not infringe or violate any third-party rights or terms.
• You retain ownership of your original audio and metadata. You grant CDLC.ai a worldwide, non-exclusive license to host, process, and display your content solely to operate, improve, and support the service.
• Output files are generated at your direction. You receive a personal, non-exclusive, non-transferable license to download and use those outputs for your own lawful use, subject to any rights held by underlying rights holders. CDLC.ai does not claim ownership of your underlying audio or any third-party compositions or trademarks.

Acceptable use

• Do not upload infringing, unlawful, or harmful content.
• Do not attempt to disrupt or reverse engineer the service.
• Do not use the service to bypass access controls or distribute content you do not own.
• Do not share output files publicly unless you have the rights to do so.
• Respect the rights and privacy of others.

Copyright and DMCA policy

We respect intellectual property rights and respond to valid notices under the DMCA. If you believe content on CDLC.ai infringes your copyright, email [email protected] with the following: identification of the copyrighted work, identification of the material to be removed with enough information to locate it, your contact information, a statement of good-faith belief, a statement under penalty of perjury, and your physical or electronic signature.

If you believe your content was removed in error, you may send a counter-notice with your contact information, identification of the removed material, a statement under penalty of perjury, consent to the jurisdiction of the federal court in your district, and your signature. We may remove content and terminate accounts of repeat infringers.

Rocksmith and Ubisoft are trademarks of Ubisoft Entertainment. CDLC.ai is not affiliated with, endorsed by, or sponsored by Ubisoft. References to Rocksmith are for descriptive compatibility purposes only. You are responsible for complying with any Ubisoft terms or EULAs and all applicable laws.

Service availability

We may modify, pause, or discontinue features as we improve the platform. We will do our best to provide advance notice when reasonable.

Indemnification

You agree to defend, indemnify, and hold harmless CDLC.ai and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your uploads, outputs, or use of the service.

Disclaimers and limitation of liability

CDLC.ai is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the service.

Changes to these terms

We may update these terms from time to time. Continued use after changes become effective means you accept the updated terms.
